Chapter 13 — Legal & Rights
What is an NDA and should I sign one?
A Non-Disclosure Agreement is a contract to keep specified information confidential. Standard for jobs, deals, and freelance work. Read the scope, term, and carve-outs before signing.
Follow-up questions
Are they enforceable?
Reasonable NDAs are; overly broad ones (perpetual, all information, anywhere) often get narrowed by courts.
Can they cover illegal conduct?
No — federal and many state laws (Speak Out Act, 2022) bar NDAs from silencing harassment or crime reports.
One-way or mutual?
Mutual is fairer if both parties share information. One-way is fine for candidates learning company secrets.
How long is normal?
2–5 years for business info, indefinite for trade secrets. Perpetual on ordinary info is a red flag.
